Adam, Bob & Camilla have worked together as gardeners for the last five years. They were trading as a partnership under the name Green Grass & Co. The business has flourished and they think it has potential to grow further.
They are particularly keen to establish a nursery specialising in alpine plants. For tax reasons and to make it easier to borrow from the bank, their accountants have recommended that they incorporate and trade as a limited company. They accept their solicitor’s advice and decide to register a tailor-made company rather than buy an off the shelf company.
They wish to incorporate the business using the name Green Fingers Ltd. They have just been given the opportunity to take a ten year lease of a plant nursery provided they sign the lease by the 30th of January 2021. Their solicitor has advised them that it will not be possible to incorporate the business in less than 20 days.
Task: They seek your advice on the choice of their company name and how they should deal with the lease of the nursery. They are particularly concerned that they should have no personal liability on this contract.
